Terms of Service

These Terms of Service ("Terms") govern your access to and use of Hausive websites, applications, and related services (collectively, the "Services"), provided by ERMA Group Co., Ltd. ("Hausive," "we," "our," or "us").
By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Eligibility and Account Use
- You must be legally able to enter into a binding agreement to use the Services.
- You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.
- You must provide accurate account information and keep it updated, including billing and contact details.
2. Subscriptions, Fees, and Billing
- Paid plans are billed in advance on the billing cycle shown during checkout or in your account settings.
- Unless otherwise stated, subscriptions renew automatically until canceled before renewal.
- You authorize us (or our payment processors) to charge all applicable fees, taxes, and overage charges to your payment method.
- You may request a full refund within 30 days of your purchase or renewal date by contacting us at support@hausive.com. Refund requests submitted after this 30-day period will not be approved.
- We may change pricing with prior notice. Price changes apply at the next renewal period.
Vietnam Trial and E-Invoice Terms
- For organizations billed in Vietnam, Starter and Pro plans may include a 7-day free trial. No subscription fee is charged during the free trial.
- If you choose a paid plan after the free trial, you authorize Hausive to collect the applicable subscription fee and issue the corresponding electronic invoice after your payment is confirmed and, where applicable, after any billing data reconciliation or verification permitted by applicable Vietnamese invoicing laws.
- By starting a paid plan after the free trial, you expressly agree to this invoice timing and request that the invoice be issued and delivered electronically to the billing details you provide.
- If you do not purchase a paid plan when the free trial ends, or do not complete the required payment for continued service, your access to the Services may be suspended or terminated after any applicable grace period.
3. Acceptable Use
You agree not to misuse the Services. You must not:
- Use the Services in violation of laws, regulations, or third-party rights.
- Attempt unauthorized access, interfere with operations, or bypass security controls.
- Upload malware, malicious code, or content intended to disrupt systems.
- Reverse engineer, copy, distribute, or create derivative works from the Services except as permitted by law.
- Use the Services to transmit spam, fraudulent content, or deceptive communications.
4. Customer Data
- You retain ownership of data you submit to the Services ("Customer Data"), subject to the rights you grant us to provide and improve the Services.
- You represent that you have all rights and permissions needed to upload and process Customer Data.
- We process personal data as described in our Privacy Policy .
5. Marketing Communications
- We may send you product updates, newsletters, promotions, and other marketing communications related to the Services.
- You can turn off marketing communications at any time in your account settings.
- Even if you opt out of marketing communications, we may still send service-related, billing, security, and legal notices when necessary.
6. Customer Name and Logo Use
- If you sign up for the Services on behalf of an organization, you grant Hausive a limited, non-exclusive, worldwide, royalty-free license to use your organization's name, logo, and other brand features in our marketing and advertising materials.
- This permission includes identifying your organization as a customer on our website, in customer lists, presentations, proposals, and similar promotional materials.
- You represent that you have the rights and authority needed to grant this permission to Hausive.
7. Intellectual Property
The Services, including software, design, trademarks, logos, and related content, are owned by Hausive or its licensors and are protected by applicable intellectual property laws. Except for the limited rights granted in these Terms, no rights are transferred to you.
8. Third-Party Services
The Services may integrate with third-party tools, providers, or links. We are not responsible for third-party services, and your use of them is governed by their own terms and policies.
9. Service Availability and Changes
- We may update, modify, suspend, or discontinue all or part of the Services at any time.
- We aim for reliable service but do not guarantee uninterrupted, error-free, or secure operation at all times.
10. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Hausive and its affiliates, officers, employees, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption, arising from or related to your use of the Services.
Our total cumulative liability for all claims arising out of or related to the Services will not exceed the amount paid by you to Hausive for the Services in the twelve (12) months before the event giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Hausive and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your Customer Data, or your violation of these Terms.
13. Suspension and Termination
- You may stop using the Services at any time. Account cancellation terms may depend on your subscription plan.
- We may suspend or terminate access if you violate these Terms, create security risk, or expose us or others to legal liability.
- Provisions that by nature should survive termination will survive, including payment, ownership, disclaimers, liability limits, and dispute terms.
14. Governing Law and Disputes
These Terms are governed by the laws of Vietnam, without regard to conflict of law principles. Unless otherwise required by applicable law, disputes arising from these Terms or the Services will be resolved in the competent courts of Ho Chi Minh City, Vietnam.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the revised Terms and update the "Last updated" date. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.
